Completion of placing of new shares under general mandate

Hong Kong (April 13, 2017) and Calgary, Alberta (April 13, 2017) – The Board of Directors (the “Board”) of Sunshine Oilsands Ltd. (the “Corporation” or “Sunshine”) (HKEX: 2012) is pleased to announce the following: The Board is pleased to announce that all conditions of the Placing Agreement have been fulfilled and the Completion took place on April 13, 2017. An aggregate of140,874,000RelevantShares were allotted and issued to Creditor A at the Issue Price of HK$0.241per RelevantShare pursuant to the terms and conditions of the Debt SettlementAgreement.

Reference is made to the announcement of the Corporation dated April 5, 2017 (the “Announcement”) in relation to the issuance of new Shares under the General Mandate for settlement of indebtedness. Unless otherwise specified, terms used herein shall have the same meanings as defined in the Announcement.

COMPLETION OF THE PLACING

The Board is pleased to announce that all conditions of the Placing have been fulfilled andthe completion of the Placing took place on April 13, 2017. A total of 140,874,000Relevant Shares have been successfully issued to Creditor A atthe Issue Price of HK$0.241per Relevant Share pursuant to the terms and conditions of theDebt Settlement Agreement.The Relevant Shares are subject to 4 months’ holding period. The issuance of the Relevant Shares is for settlement of the Partial Debt of CDN$5,861,054.36.

EFFECT ON SHAREHOLDING STRUCTURE

The 140,874,000Relevant Shares represent (i) approximately 2.63% of the issued share capital ofthe Corporation immediately before completion of the issuance of the Relevant Shares and (ii) approximately 2.57% ofthe issued share capital of the Corporation as enlarged by the allotment and issuance of the Relevant Shares. Set out below is the shareholding structure of the Corporation immediately before and aftercompletion of the issuance of the Relevant Shares:

The Corporation is a Calgary based public corporation listed on the Hong Kong Stock Exchange since March 1, 2012. The Corporation is focused on the development of its significant holdings of oil sands leases in the Athabasca oil sands region.
